1. Services Covered

Provider agrees to deliver the following services under this retainer:

Development & Implementation:

Designing and building automation workflows and AI integrations tailored to Client’s business processes.

Custom coding or API integrations as needed.

Monitoring & Maintenance:

Ongoing monitoring of all active automations for errors, failures, or changes in connected platforms.

Proactive issue resolution and optimization of existing workflows.

Technical Support:

Troubleshooting and resolving technical issues related to automations or AI tools.

Priority response for critical issues.

Future Upgrades & Improvements:

Identifying new automation and AI opportunities.

Implementing updates, new features, or process improvements.

Note: Services requiring substantial new development outside the current scope may be quoted separately, subject to Client’s approval.


2. Retainer Fee & Payment Terms

The monthly retainer fee is $3,000 USD.

Late payments may result in a pause in services until payment is received.


3. Availability & Communication

Provider will be available for:

Scheduled strategy calls

Ongoing communication via email or [Slack/other platform]

Response to urgent issues within [e.g. 24 business hours]


4. Term & Termination

This Agreement starts on the date above and continues month-to-month.

Either party may terminate with 30 days written notice.

Upon termination, Provider will deliver any in-progress work and assist with a smooth transition.


5. Confidentiality

Provider agrees to keep all Client data, processes, and business information strictly confidential, except as required by law.


6. Intellectual Property

All automation workflows, scripts, and deliverables created specifically for Client under this Agreement shall be owned by Client upon full payment.

Provider may retain general knowledge, methods, and non-client-specific tools for use with other clients.
